Class A3 Noteholders definition

Class A3 Noteholders means the Noteholders of Class A3 Notes.
Class A3 Noteholders means together the holders of the Class A3 Notes from time to time;
Class A3 Noteholders means the holders of any Class A3 Notes from time to time.

  • Any such drawings shall be paid directly to the Principal Paying Agent, U.S. Paying Agent or Currency Swap Provider (as applicable) for the account of the Class A1 Noteholders and/or the Class A2 Noteholders and/or the Class A3 Noteholders to be paid together with such payments made pursuant to paragraphs (b) to (e) of the Pre-Acceleration Principal Priority of Payments, but will not be applied to Available Principal Receipts.

  • Noteholders means (i) the Class A1 Noteholders, the Class A2 Noteholders and the Class A3 Noteholders, (ii) the person(s) in whose name a Class Z VFN is registered in the Class Z VFN Register (or in the case of joint holders, the first named thereof).

  • Liquidation of the Collateral at such time or remedies pursued by the Trustee upon enforcement of the security over the Collateral in such circumstances could be adverse to the interests of the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders, the Class B-1 Noteholders, the Class B-2 Noteholders or the holders of Class C Subordinated Notes, as the case may be.

  • Such shortfall will be borne first by (a) the Class C Subordinated Noteholders, (b) thereafter, the Class B-2 Noteholders, (c) thereafter, the Class B-1 Noteholders, (d) thereafter, the Class A-3 Noteholders, (e) thereafter, the Class A-2 Noteholders and finally (f) the Class A-1 Noteholders, in accordance with the Priorities of Payment.

"Class B Fixed Rate of Interest" has the meaning given thereto in Condition 6 (Interest). "Class B Noteholders" means the holders from time to time of the Class B Notes.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.
