Class A-Y means, when combined with any other capitalized term defined in this Agreement, of or relating to the Class A-Y Certificates. "CLASS A-Y CERTIFICATE" shall mean any of the Certificates that collectively constitute the Class bearing the alphabetic class designation "A-Y". "CLASS A-Y STRIP RATE" shall mean, in the case of each Specially Designated Co-op Mortgage Loan (or any successor REO Loan), an annual rate equal to the excess of (i) the Net Mortgage Rate in effect for such Mortgage Loan as of the Closing Date, over (ii) 6.35% per annum.

Examples of Class A-Y in a sentence

  • Commercial Mortgage Pass-Through Certificates, Series 2005-C3, including but not limited to a strip rate of 0.10% plus the portion of the yield maintenance charge allocated to the Class A-Y Certificates and 50% of all prepayment premiums with respect to the Mortgage Loans.

  • Seller's rights to receive Retained Interest terminates upon receipt of the Class A-Y Certificates.

  • Upon securitization, Purchaser shall cause the delivery of the Class A-Y Certificate to Seller.

  • The Class A-X, Class A-SP and Class A-Y Certificates will not have a Class Principal Balance and will not be entitled to receive distributions of principal.

  • The Class A-Y Certificate shall have the same payments, priorities, and allocations as was previously given to such class in the pooling and servicing agreement related to Credit Suisse First Boston Mortgage Securities Corp.

  • Not earlier than the Release Date, beneficial interests in the Regulation S Temporary Global Certificate in respect of the Class A-CP, Class A-X, Class A-Y, Class E, Class F or Class G Certificates shall be exchangeable for beneficial interests in the Regulation S Permanent Global Certificate for such Class.

  • The Class A-CP, Class A-X, Class A-Y, Class A-1, Class A-2, Class A-3, Class B, Class C, Class D, Class E, Class F, Class G, Class H, Class J and Class K Certificates will be issuable only in denominations corresponding to initial Certificate Principal Balances (or, in the case of the Interest Only Certificates, initial Certificate Notional Amounts) as of the Closing Date of not less than $10,000 and any whole dollar denomination in excess thereof.

  • Beneficial interests in the Regulation S Temporary Global Certificates in respect of the Class A-CP, Class A-X, Class A-Y, Class E, Class F or Class G Certificates may be held only through Euroclear or Clearstream.
