Income shall be allocated pro rata to the Members in accordance with each Members’ respective holdings of Class A Shares until the Class A Priority Return (as defined in Section 11.6(d) below) has been paid in full, and thereafter shall be allocated fifty percent (50%) to the Members pro rata in accordance with their respective holdings and fifty percent (50%) to the Common Member.
Buyer will have delivered in accordance with Section 1.3 (i) to the Class A Seller the Class A Priority Return and (ii) to the Sellers the Estimated Closing Date Purchase Price.
