Class A Liquidation Preference Amount definition
Class A Liquidation Preference Amount means, with respect to each Class A Unit (regardless of when issued and at what price), as of any date of determination, the sum of (x) the aggregate Class A Unit Net Capital in respect of a Class A Unit issued on the Issuance Date, and (y) an amount sufficient to provide a 10.5% annual Internal Rate of Return as of such date of determination on the Class A Unit Net Capital in respect of a Class A Unit issued on the Issuance Date taking into account the cumulative amount, if any, that has been distributed in respect of a Class A Unit issued on the Issuance Date pursuant to Section 6.3 (for the avoidance of doubt, excluding Tax Distributions).
Class A Liquidation Preference Amount means $28 million.
Class A Liquidation Preference Amount means, at any time, an amount per Class A Preferred Share equal to the Class A Original Issue Price plus any dividends declared but unpaid thereon;
