Class A Event definition

Class A Event means the occurrence of any event through which or as a consequence of which (i) CEG shall cease to beneficially own, directly or indirectly, at least 50% of the Class A Units of CEP that are then outstanding (including where CEG or any of its direct or indirect subsidiaries (individually, a “CEG Entity”) enters into a total return swap or any other contractual arrangement whereby a CEG Entity transfers any economic interest in at least 50% of the Class A Units of CEP that are then outstanding); (ii) a CEG Acquisition occurs; or (iii) CEG shall cease to have the right, directly or indirectly, to direct the appointment of all Class A Managers pursuant to Section 11.8(d) of the LLC Agreement or otherwise (including where any CEG Entity enters into any contractual arrangement whereby a CEG Entity grants any Person other than a wholly owned CEG Entity the right or option, directly or indirectly, to direct the appointment of any number of the Class A Managers pursuant to Section 11.8(d) of the LLC Agreement or otherwise).
Class A Event means the occurrence of any event through which or as a consequence of which (A) PostRock shall cease to beneficially own, directly or indirectly, at least 50% of the Class A Units of CEP that are then outstanding (including where PostRock or any of its direct or indirect subsidiaries (individually, a “PostRock Entity”) enters into a total return swap or any other contractual arrangement whereby a PostRock Entity transfers any economic interest in at least 50% of the Class A Units of CEP that are then outstanding); (B) a PostRock Acquisition occurs; or (C) PostRock shall cease to have the right, directly or indirectly, to direct the appointment of all Class A Managers pursuant to Section 11.8(d) of the LLC Agreement or otherwise (including where any PostRock Entity enters into any contractual arrangement whereby a PostRock Entity grants any Person other than a wholly owned PostRock Entity the right or option, directly or indirectly, to direct the appointment of any number of the Class A Managers pursuant to Section 11.8(d) of the LLC Agreement or otherwise). Notwithstanding the amendment of the definition of Class A Event in this Agreement, a Class A Event shall be deemed to have occurred, most recently as of March 12, 2012, for purposes of a potential Change of Control under Section 1(a)(vi)(A)iii).
Class A Event means a special event requiring 100 or more hours of service as determined by the police department, based on the size, nature and location of the event.

Examples of Class A Event in a sentence

  • For any Event, the Class A Event Loss Amount and the Class B Event Loss Amount, collectively, shall be the “Event Loss Amount”.

  • For any East and Gulf Coast Hurricane and European Windstorm during the Risk Period, the amount by which the Modeled Loss exceeds the related Class A Event Attachment Point (or in the event of a Model-Based Reset, the Class A Event Reset Attachment Point) up to the related Class A Event Exhaustion Point (or Class A Event Reset Exhaustion Point, if applicable) shall be the “Class A Event Loss Amount”.

  • If the Cedant fails to provide data meeting the Data Criteria, the Class A Event Attachment Points, the Class B Event Attachment Points and the Notional Portfolios prior to the Reset Notice Date shall remain in effect.

  • Class A Principal Distributable Amount means, for any Distribution Date: (A) during the Revolving Period, zero; and (B) during the Amortization Period, an amount equal to the lesser of: (i) Available Funds remaining after payment of the amounts set forth in clauses (i) through (iv) of Section 5.08(a) hereto and (ii) the Class A Note Balance; provided, however, on the Class A Stated Final Maturity Date, the Class A Principal Distributable Amount will equal the Class A Note Balance.
