Any vacancies in the Class A/B Directors for any reason, and any Class A/B Common Stock directorships resulting from any increase in the number of directors (including as a result of the application of the proviso in Section 3(a)(2) of Article IV), may be filled only by the Class A/B Directors (and not by the holders of Class A/B Common Stock), acting by the affirmative vote of a majority of the remaining Class A/B Directors, although less than a quorum, or by a sole remaining Class A/B Director.
Each Class A/B Director shall have one (1) vote on any matter voted on by the Board of Directors.
Each Class A/B Director shall be elected by the affirmative vote of the holders of a plurality of the shares of Class A/B Common Stock that are represented at the meeting of stockholders at which the director stands for election and are entitled to elect such director pursuant to Section 3(a)(2) of Article IV.
