The Administrative Agent will promptly pay to the Issuing Bank any amounts received by it from Borrower pursuant to the above paragraph prior to the time that any Class A-2 Revolving Lender makes any payment pursuant to the preceding sentence and any such amounts received by the Administrative Agent from Borrower thereafter will be promptly remitted by the Administrative Agent to the Class A-2 Revolving Lenders that shall have made such payments and to the Issuing Bank, as appropriate.
The Class 85-RL Certificate may be transferred and is otherwise subject to the provisions of Article V hereof.
If Borrower fails to make such payment when due, the Issuing Bank shall notify the Administrative Agent and the Administrative Agent shall notify each Class A-2 Revolving Lender of the applicable LC Disbursement, the payment then due from Borrower in respect thereof and such Class A-2 Revolving Lender’s Pro Rata Percentage thereof.
In consideration and in furtherance of the foregoing, each Class A-2 Revolving Lender hereby absolutely and unconditionally agrees to pay to the Administrative Agent, for the account of the Issuing Bank, such Class A-2 Revolving Lender’s Pro Rata Percentage of each LC Disbursement made by the Issuing Bank and not reimbursed by Borrower on the date due as provided in Section 2.18(e), or of any reimbursement payment required to be refunded to Borrower for any reason.
Any Lender designated as an issuing bank pursuant to this paragraph (j) shall be deemed (in addition to being a Class A-2 Revolving Lender) to be the Issuing Bank with respect to Letters of Credit issued or to be issued by such Class A-2 Revolving Lender, and all references herein and in the other Loan Documents to the term “Issuing Bank” shall, with respect to such Letters of Credit, be deemed to refer to such Class A-2 Revolving Lender in its capacity as Issuing Bank, as the context shall require.
Interest accrued pursuant to this paragraph shall be for the account of the Issuing Bank, except that interest accrued on and after the date of payment by any Class A-2 Revolving Lender pursuant to Section 2.18(e) to reimburse the Issuing Bank shall be for the account of such Lender to the extent of such payment.
The Administrative Agent shall promptly notify each Class A-2 Revolving Lender on the last Business Day of each quarter of the current quarter s Letter of Credit amount.
Any Class A-2 Revolving Lender designated as an issuing bank pursuant to this paragraph (j) shall have all the rights and obligations of the Issuing Bank under the Loan Documents with respect to Letters of Credit issued or to be issued by it, and all references in the Loan Documents to the term “Issuing Bank” shall, with respect to such Letters of Credit, be deemed to refer to such Class A-2 Revolving Lender in its capacity as the Issuing Bank, as the context shall require.
