Class A-2 Lender definition

Class A-2 Lender means each Lender with a Class A-2 Commitment.
Class A-2 Lender means each Lender that that has a Class A Funding Requirement and holds Class A-2 Loans, when acting in that capacity.
Class A-2 Lender means each Conduit Lender, each Committed Lender and each Uncommitted Lender, as the context may require, with a Class A-2 Commitment of greater than $0.

Examples of Class A-2 Lender in a sentence

  • With respect to any Class A-2 Advance, such Class A-2 Lender shall have received evidence that such Class A-2 Advance has been rated at least A2 by Morningstar on the date such Class A-2 Lender became a party to this Agreement.

  • With respect to any Class A-2 Advance, such Class A-2 Lender shall have received evidence that such Class A-2 Advance has been rated at least A by Morningstar on the date such Class A-2 Lender became a party to this Agreement.

  • Each Class A-2 Lender, Class A-3 Lender and Class B Lender shall make each Loan to be made by it hereunder on the proposed date thereof by wire transfer of immediately available funds by 12:00 noon, New York City time, to the account of the Administrative Agent most recently designated by it for such purpose by notice to the Lenders.

  • With respect to any Class A-2 Advance, such Class A-2 Lender shall have received evidence that such Class A-2 Advance has been rated at least A by Morningstar on the date such Class A-2 Lender became a party to this Agreement.Section 6.3 Transfer of Collateral Obligations and Permitted Investments.

  • All references in the Indenture to the Class A-2 Lender or the Class A-2 Lenders shall apply mutatis mutandis to the Class A-2R Lender and the Class A-2R Lenders, respectively.

  • At the election of a Class A-2 Lender, all or a portion of the outstanding principal amount of the Class A-2 Loans held by such Class A-2 Lender may be converted into Class A-2 Notes, in which case the Aggregate Outstanding Amount of the Class A-2 Notes will be increased by the amount of the Class A-2 Loans so converted and the Class A-2 Loans (or portion thereof so converted) will cease to be Outstanding.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered in the Note Register.

  • Class A-2-A Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.

  • Class A-2 Rate means 0.48% per annum (computed on the basis of a 360 day year consisting of twelve 30 day months).

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class A-2 Note Rate With respect to any Payment Date, the per annum rate equal to the lesser of (i) the Class A-2 Formula Note Rate and (ii) the Class A-2 Net WAC Cap Rate for such Payment Date.

  • Class A-1 Current Interest As of any Distribution Date, the interest accrued during the related Accrual Period at the Class A-1 Pass-Through Rate on the Class A-1 Certificate Principal Balance as of such Distribution Date plus the portion of any previous distributions on such Class in respect of Current Interest or a Class A-1 Interest Carry Forward Amount that is recovered as a voidable preference by a trustee in bankruptcy, less any Non-Supported Interest Shortfall allocated on such Distribution Date to the Class A-1 Certificates.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-2-B Interest Rate means LIBOR + 0.27% per annum (computed on the basis of the actual number of days elapsed during the applicable Interest Period, but assuming a 360 day year); provided, however, that for any Interest Period for which the sum of LIBOR + 0.27% is less than 0.00%, the Class A-2-B Interest Rate shall be deemed to be 0.00%.

  • Class B-3 Prepayment Percentage As to any Distribution Date, except as set forth in the next sentence, the percentage calculated by multiplying (i) the Subordinated Prepayment Percentage by (ii) a fraction, the numerator of which is the Class B-3 Principal Balance (determined as of the Determination Date preceding such Distribution Date) and the denominator of which is the sum of the Principal Balances of the Classes of Class B Certificates eligible to receive principal distributions for such Distribution Date in accordance with the provisions of Section 4.01(d). Except as set forth in Section 4.01(d)(ii), in the event that the Class B-3 Certificates are not eligible to receive distributions of principal in accordance with Section 4.01(d)(i), the Class B-3 Prepayment Percentage for such Distribution Date will be zero.

  • Class B-5 Prepayment Percentage As to any Distribution Date, except as set forth in the next sentence, the percentage calculated by multiplying (i) the Subordinated Prepayment Percentage by (ii) a fraction, the numerator of which is the Class B-5 Principal Balance (determined as of the Determination Date preceding such Distribution Date) and the denominator of which is the sum of the Principal Balances of the Classes of Class B Certificates eligible to receive principal distributions for such Distribution Date in accordance with the provisions of Section 4.01(d). Except as set forth in Section 4.01(d)(ii), in the event that the Class B-5 Certificates are not eligible to receive distributions of principal in accordance with Section 4.01(d)(i), the Class B-5 Prepayment Percentage for such Distribution Date will be zero.

  • Class A-2 Monthly Interest means (i) for the initial Distribution Date, $321,750.00, and (ii) for any Distribution Date thereafter, one-twelfth of the product of (A) the Class A-2 Rate and (B) the outstanding principal balance of the Class A-2 Notes as of the preceding Distribution Date (after giving effect to all payments of principal made to the Holders of the Class A-2 Notes on or before such preceding Distribution Date).

  • Class A-2 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-2 hereto.

  • Initial Class A-2 Note Balance means $235,000,000.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class B-1 Prepayment Percentage As to any Distribution Date, the percentage calculated by multiplying the Subordinated Prepayment Percentage by either (i) if any Class B Certificates (other than the Class B-1 Certificates) are eligible to receive principal distributions for such Distribution Date in accordance with Section 4.01(d), a fraction, the numerator of which is the Class B-1 Principal Balance (determined as of the Determination Date preceding such Distribution Date) and the denominator of which is the sum of the Principal Balances of the Classes of Class B Certificates eligible to receive principal distributions for such Distribution Date in accordance with the provisions of Section 4.01(d) or (ii) except as set forth in Section 4.01(d)(ii), in the event that the Class B Certificates (other than the Class B-1 Certificates) are not eligible to receive distributions of principal in accordance with Section 4.01(d)(i), one.
