Class 2 Directors definition

Class 2 Directors means those Directors identified in Article VI, Section 1(c).
Class 2 Directors and "Class 3 Directors," respectively). At such time as the Minimum Hold Condition shall no longer be satisfied, none of the directors shall be designated as Class 1 Directors, Class 2 Directors or Class 3 Directors. In the event of an increase in the number of members of the Board of Directors above nine at a time when directors are designated as Class 1 Directors, Class 2 Directors and Class 3 Directors, the directors who occupy the additional positions on the Board and who are not successors of the directors who were designated as Class 1 Directors, Class 2 Directors or Class 3 Directors as of the Effective Date, shall be allocated to and designated as Class 2 Directors, unless such directors are to be elected exclusively by the holders of one or more series of Preferred Stock as provided in the resolution or resolutions setting the designation, powers, preferences and rights of such series of Preferred Stock. Only the stockholders referred to in paragraph (e) of Section 2 of Part C of Article Fifth hereof and Section 2 of this article shall be entitled to vote on the election or removal (with or without Cause) of Class 1 Directors, Class 2 Directors or Class 3 Directors, respectively.

Examples of Class 2 Directors in a sentence

  • Only the stockholders referred to in paragraph (e) of Section 2 of Part C of Article Fifth hereof and Section 2 of this article shall be entitled to vote on the election or removal (with or without Cause) of Class 1 Directors, Class 2 Directors or Class 3 Directors, respectively.

  • There shall be three Class 2 directors and the terms of the Class 2 Directors shall end at a meeting of the Board of Directors to be held in October 2007.

  • There shall be three Class 2 Directors who shall serve an initial term that shall end in October 2006.

  • Following the expiration of the terms described above, the Class 1 and Class 2 Directors shall serve terms that will end on or around the fifth anniversary of their commencement.

  • At such time as the Minimum Hold Condition shall no longer be satisfied, none of the directors shall be designated as Class 1 Directors, Class 2 Directors or Class 3 Directors.

  • The initial term of the Class 2 Directors shall expire at the third annual general meeting following the adoption of these Bye-laws.

  • The Class 3 Director shall be a Director of the ICMA Retirement Corporation and shall stand for election at each meeting of Directors at which Class 1 or Class 2 Directors stand for election.

  • The directors shall be divided into three classes, with the term of office of the first class to expire at the first annual meeting of stockholders following such classification ("Class 1 Directors") and the term of office of the second class to expire at the second annual meeting following such classification ("Class 2 Directors") and the term of office of the third class to expire at the third annual meeting following such classification ("Class 3 Directors").

Related to Class 2 Directors

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Series A Directors means the directors of the Company that have been solely designated by the holders of record of the Series A Preferred Stock pursuant to the Company’s Certificate of Incorporation, the Stockholders Agreement or otherwise.

  • Preferred Directors means, collectively, the Series A Directors and the Series B Director.

  • Investor Directors or “Investor Director” has the meaning set forth in Section 6.1(a) hereof.

  • Series B Director means any director of the Company that the holders of record of the Series B Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.
