This Agreement shall be governed by the laws of the State of Washington and any action or litigation undertaken to enforce the terms of this Agreement shall be conducted in Clark County, Washington.
The venue for any dispute related to this Agreement or for any action to enforce any term of this Agreement shall be Clark County, Washington.

Accordingly, for the avoidance of doubt, the parties further acknowledge and agree this Section 9 prohibits Executive during the Restricted Period from accepting employment or otherwise acting in any of the Prohibited Manners of Participation with a Competing Business, even outside of Clark County, Nevada.
