Clarion definition

Clarion. The Adviser has the right to use the name "CBRE" or "Clarion" in connection with its services to the Trust and that, subject to the terms set forth in Section 8 of this Agreement, the Trust shall have the right to use the name "CBRE" or "Clarion" in connection with the management and operation of the Fund. The Adviser is not aware of any threatened or existing actions, claims, litigation or proceedings that would adversely affect or prejudice the rights of the Adviser or the Trust to use the name "CBRE" or "Clarion."
Clarion in the name of the Trust if the Trust ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor of the Trust.
Clarion shall have the meaning assigned to such term in the preamble.

At the request of the Adviser, the Trust will (a) submit to Adviser representative samples of any promotional materials using the Name; and (b) change the name of the Fund within three months of its receipt of the Adviser's request, or such other shorter time period as may be required under the terms of a settlement agreement or court order, so as to eliminate all reference to the Name and will not thereafter transact any business using the Name in the name of the Fund; provided, however, that the Trust may continue to use beyond such date any supplies of prospectuses, marketing materials and similar documents that the Trust had on the date of such name change in quantities not exceeding those historically produced and used in connection with such Fund.
Clarion means (a) the cloud-computing portal developed and hosted by Coremont, including without limitation the Clarion application programming interface and all other products or data provided by Coremont during the Trial Period, (b) all related documentation, and (c) any authorisation keys and passwords that Coremont may deliver to you from time to time in order for you to operate and use Clarion pursuant to the terms and conditions of this Agreement.
