Claim Services means those claims administration services provided hereunder by Hawaii which are described in Article III of this Exhibit A.

Claim Services means those services which are to be rendered to the Client as per the Policy;

Claim Services means the submission, handling, investigation, adjudication, denial, payment, or adjustment of claims for benefits or coverages under health care, consumer directed health care, behavioral health, prescription drug, dental, vision, long or short term disability, automobile medical payment, or workers’ compensation plans.

• Except in the case of bad faith or willful misconduct on the part of the Company, the Company’s sole liability and GES’s sole remedy for any breach of the Company’s obligation to provide Company Transition Services, the Warranty Claim Services or any obligations of the Company with respect to GES IT, in each case in accordance with this Section 4, shall be for the Company to perform or re-perform such Company Transition Services at no cost to GES.

• Company shall also provide to Administrator, in a timely manner, any and all data, information and other items reasonably required to enable Administrator to perform the Claim Services.

• Recipient shall not copy, reproduce or use any Confidential Information without written authorization of Disclosing Party, except as may be reasonably required to accomplish the Claim Services under this Agreement.

• The U.S. Borrower is a duly constituted and validly subsisting general partnership in good standing under the laws of Delaware of which the Canadian Borrower and Metro Claim Services Inc., an Ontario corporation, are the only partners.

• The Canadian Borrower will at all times hold directly or indirectly 100% of all issued and outstanding securities of all classes issued by the U.S. Borrower, Kingsway America, Metro Claim Services Inc.

• Except as required by law, Recipient shall keep Disclosing Party’s Confidential Information confidential and shall only use the Confidential Information in performing or facilitating the Claim Services under this Agreement.
