The Claim Manager shall be solely responsible for, and shall have sole discretion with respect to, the Management of all Claims.
The Claim Manager shall also be entitled, in perpetuity, to control the assertion or waiver of all privileges and immunities in connection with any privileged information that relates solely or primarily to any Claims in connection with any legal proceedings that are now pending or may be asserted in the future, whether or not the privileged information is in the possession or under the control of any Affiliate of Payor or any Affiliate of the Claim Manager.

As a condition precedent to coverage, any Claim Manager shall give the Insurer written notice of any Claim as soon as practicable after any Claim Manager becomes aware of such Claim, but no later than: (i) 60 days after the end of the Policy Period; or (ii) the end of the Extended Reporting Period, if applicable.
