Concurrently with the Closing, Purchaser will cause the Partnership Credit Facilities (other than the Citree Loan) and the Working Capital Facility to be paid and satisfied in full and will further cause the Owners to be released from any and all guaranty obligations of such Owners with respect to each of the Partnership Credit Facilities and the Working Capital Facility.
