  • Since December 31, 1996, CIT has timely filed all material CIT Reports and other material documents required to be filed by it under the Securities Act and the Exchange Act, and, as of their respective dates, all CIT Reports complied in all material respects with the published rules and regulations of the SEC with respect thereto.
