CIT Indebtedness definition

CIT Indebtedness means all Indebtedness owed to CIT Healthcare LLC, a Delaware limited liability company, including pursuant to that certain Loan and Security Agreement, dated as of September 11, 2008, as amended, restated, modified, supplemented and waived from time to time in accordance with its terms.
CIT Indebtedness means, that certain $51,000,000 credit facility and factoring arrangement among CIT, as lender and factor, and River Oaks, Gaines, and R.O. West, as borrowers and account sellers, as evidenced by Notification Factoring Agreements and Loan and Security Agreements, each dated July 25, 1995, between each of River Oaks, Gaines, and R.O. West, and CIT, and related documentation (including without limitation, revolving loan notes, a term loan note, factoring agreements, and export factoring agreements.)
CIT Indebtedness has the meaning specified in Section 2.3(b).

  • Except for the CIT Indebtedness, the potential earnout payments to the Sellers pursuant to the Acquisition Agreement and Target’s indebtedness to be assumed pursuant to the Acquisition Agreement, no Indebtedness of the Company is senior to the Notes in right of payment or ranks pari passu with the Notes in right of payment, in each case whether with respect of payment of redemptions, interest, damages or upon liquidation or dissolution or otherwise.
