CIS Software definition

CIS Software means software to aid in the process of acquiring and retaining customers, such as software for managing customer service, internal helpdesks or support centers, field service, and/or sales automation.
CIS Software means all Software used by the Purchased Entities in providing to any customer of the Business any services which a Purchased Entity is obligated to provide under any Contract with that customer; 1.1.19 "Claims" means any and all claims, demands, actions, causes of action, damages, losses, costs, liabilities and expenses, including, without limitation, reasonable legal fees; 1.1.20 "Closing" means the completion of the sale and purchase of the Purchased Interests pursuant to this Agreement at the Time of Closing; 1.1.21 "Closing Date" means the date of this Agreement, being September 5, 2002; 1.1.22 "Closing Date Balance Sheet" has the meaning attributed to such term in Section 2.3.1; 1.1.23 "Code" means the Internal Revenue Code of 1986 (U.S.), as amended from time to time; 1.1.24 "Commissioner" has the meaning attributed to such term in Section 4.1.6; 1.1.25 "Confidential Information" has the meaning attributed to such term in Section 5.12; 1.1.26 "Confidentiality Agreement" means the confidentiality agreement signed by the Vendor and the Purchaser, dated as of February 18, 2002;
