Chronimed and MGI shall use reasonable efforts to cause the Form 10 to become effective under the Exchange Act.

Fees and disbursements of counsel and accountants for Chronimed, underwriting discounts and commissions and transfer taxes for Chronimed and any other expenses incurred by Chronimed not expressly included above shall be borne by Chronimed (collectively, "Chronimed Expenses").
