CHOW definition

CHOW has the meaning Section 9.8(b) specifies.
CHOW is defined in Section 7.01(b).
CHOW means the change in ownership with respect to each Borrower’s Healthcare Facility from Transferor to each such Borrower, the transfer of Transferor’s (or issuance of new) Medicare and Medicaid provider numbers to each of the Borrowers necessary for Borrowers to obtain reimbursement in their own names from Medicare and Medicaid in connection with their operation of the Healthcare Facilities in their own names and the licensure of each of the Borrowers by all federal, state and local Governmental Authorities necessary to lawfully operate the Healthcare Facilities in their own names.

Examples of CHOW in a sentence

  • Buyer shall provide written notification to Seller of the actual Closing Date as soon as reasonably practicable, but no later than seventy-two (72) hours of Buyer’s receipt of approval from the CDPH of Buyer’s hospital license CHOW application.

  • Clean & Safe will make its best efforts to ensure that at least one (1) CHOW will be a licensed mental health clinician.

  • With respect to any CHOW Corrective Actions, E and Purchaser shall reasonably agree whether such CHOW Corrective Actions are appropriate and, if agreed, will reasonably agree on adjustments to the rent under the OpCo Lease Agreement to reflect the costs of such CHOW Corrective Actions.

  • Buyer shall have obtained and/or been issued any and all Buyer Permits (including any CHOW approvals) from Governmental Authorities.

  • As a condition and term of this settlement, after the conditions precedent in Paragraphs 5- 7 are met, the CCB agrees to make a good faith effort to expedite any and all CHOW requests for the transfer of licenses from existing licensee to another existing licensee as set forth in Paragraph 1 above.

  • In the event that Purchaser terminates this Agreement pursuant to this Section 9.4(a)(iii), Purchaser shall have no liability with respect to any CHOW Corrective Actions and shall be entitled to the return of the Deposit and neither Stayton nor Purchaser shall have any further rights or obligations hereunder except as otherwise provided herein.
