As of the date hereof, no member of the Company Group has received any written notice from the United States Department of Commerce that it has denied, or that it intends to deny or does not intend to approve, an award of direct funding to the Company pursuant to the CHIPS Act.
Grantor may take into account any market conditions impacting the Grantee in its determination of whether to waive all or a portion of the liquidated damages amount, which conditions will be determined by the Grantor, with criteria the Grantor deems appropriate, that may include, by way of example only, whether the Grantee received expected CHIPS Act funding.

In the event that the Company fails to submit documentation to Bel Aire by December 31, 2023 evidencing the Company’s award of federal grant funds under the CHIPS Act of 2022, this Agreement shall immediately terminate.
