Chinese Restructuring means that certain merger of Shanghai Vishay Semiconductor Co., Ltd. (“SVS”) with and into Shanghai Vishay Opto Co., Ltd. (“SVO”) with SVO as the surviving company to the extent consummated on substantially the terms described in the signed letter delivered to the Lenders on July 15, 2004.”
