  • Norgine undertakes to maintain the China IDL during the period which is from the Effective Date to the date of completion of the transfer of the China IDL in the name of CMS or CMS’ designated party.

  • Within thirty (30) days or such other date as the Parties may agree after the grant of the Certificate of Pharmaceutical Product subject to Clause 3.4, CMS shall provide Norgine with a copy of all of the documents that are necessary for the transfer of the China IDL to CMS and the registration of a China IDL in the name of CMS or CMS’s designated company.

  • Provided that the supply price increases accordingly, both parties further agree that from the third year when CMS or CMS’s designated company obtains the China IDL, the increase of the Supply Price is only executed once in such corresponding year and the increase of Supply Price in each five-year period (the third year to the seventh year is the first five-year period) shall not exceed percent ([ ]%) of the supply price applicable to the year before such five-year period.

  • Venus shall, whenever requested by CMS and permitted by the Applicable Laws and Regulations, provide all necessary assistances and support to cause the China IDL to be varied to the name of the Designated Party of CMS.

  • Within thirty (30) days of the Effective Date, or such other date as the Parties may agree, Venus shall execute an authorization or other document in an appropriate form as legally required by the Applicable Law and Regulations to appoint CMS or its Designated Party to be the registration agent of the China IDL.

  • Norgine undertakes to maintain the China IDL during the period which is from the Effective Date to the date of completion of the transfer of the Netherlands MA to CMS.

  • Supply Price shall remain fixed for 2 years from the date when CMS or CMS’s designated company obtains the China IDL.

  • Based on the foregoing premises, both Parties further agree and acknowledge that the China IDL of the Products shall be in the first instance applied and obtained in the name of Venus or its appointee, unless otherwise proposed by CMS.
