The purchase and sale of the Stock set forth in Section 1.1 shall take place at the offices of the Corporation, at the time of the closing of the Charter Affiliation Agreement or upon the occurrence of the events set forth in subparagraphs (b), (c), (d) and (e) of Section 1.1, or at such other time and place as the Corporation and the Purchaser mutually agree upon orally or in writing (each such time and place are designated as the “Closing”).
