Charged Property definition

Charged Property means all of the assets of the Obligors which from time to time are, or are expressed to be, the subject of the Transaction Security.
Charged Property means all the assets and undertaking of the Chargor which from time to time are the subject of the security created or expressed to be created in favour of the Collateral Agent by or pursuant to this Debenture.
Charged Property means all of the issued shares of the Company as described in Recital (D) and all other shares in the Company from time to time legally or beneficially owned by the Chargor during the Security Period (together the “Charged Shares”) and all dividends or other distributions, interest and other moneys paid or payable after the date hereof in connection therewith and all interests in and all rights accruing at any time to or in respect of all or any of the Charged Shares and all and any other property that may at any time be received or receivable by or otherwise distributed to the Chargor in respect of or in substitution for, or in addition to, or in exchange for, or on account of, any of the foregoing, including, without limitation, any shares or other securities resulting from the division, consolidation, change, conversion or reclassification of any of the Charged Shares, or the reorganization, merger or consolidation of the Company with any other body corporate, or the occurrence of any event which results in the substitution or exchange of the Charged Shares, and all proceeds of any and all of the foregoing;

Examples of Charged Property in a sentence

  • If the SEOCH Participant requests SEOCH to release the Charged Property following any payment or discharge made or Security Interest or guarantee given in relation to the Secured Sums by a person other than the SEOCH Participant (a "Relevant Transaction"), SEOCH or SEOCH's nominee shall be entitled to retain this deed and shall not be obliged to release the Charged Property until the expiry of the Retention Period in relation to that Relevant Transaction.

  • The security conferred by the Funding Deed of Charge constitutes a first priority security interest of the type described, and over the security assets referred to, in the Funding Deed of Charge and the Funding Charged Property is not subject to any prior or pari passu Security Interests.

  • If at any time before the expiry of that Retention Period the Dissolution of such other person shall have commenced, SEOCH may continue to retain this deed and shall not be obliged to release the Charged Property for such further period as SEOCH may determine.

  • At any time following (i) SEOCH receiving notice (either actual or constructive) of any subsequent Security Interest affecting the Charged Property or (ii) the Dissolution of the SEOCH Participant, SEOCH may open a new account in the name of the SEOCH Participant (whether or not it permits any existing account to continue).

  • Without prejudice to the representations and warranties in clause 5 and the covenants in clause 7, SEOCH may at any time redeem any Security Interest over the Charged Property having priority to the Charge or procure the transfer thereof to SEOCH (or the SEOCH's nominee), may settle the accounts of holders of any such Security Interest and otherwise may deal with the holders of any such Security Interest in such manner as SEOCH sees fit.
