Mr. Flynn shall devote hi▇ ▇▇▇▇, ▇bility, attention, energy, knowledg▇ ▇▇▇ ▇▇▇ll to performing all reasonable duties as a Vice Chair and CFSG Group Head as assigned to him by the Bank's Chief Executive Officer ("CEO"), the Bank's Board of Directors (the "Board") and/or UNBC's Board of Directors (the "UNBC Board") (when referred to collectively with the Bank's Board, the "Boards").
The CASH Board and CFSG Board consider that the amendment of the exercise right of the Purchaser Call Option will allow higher degree of flexibility for both parties to complete the acquisition of the remaining 40% of the Equity Interest as and when the respective board may consider appropriate, and it will not impose an immediate heavy financial burden on cash flow of the CFSG Group.
