CEV definition

CEV or “Cash Equivalent Value” means the feature consisting of a payment in cash equal to the excess of the Fair Market Value of a specified number of shares of Common Stock on the date the Stock Option is exercised over the CEV Price for such shares.
CEV has the meaning specified in the recitals of this Agreement.
