CESI. Health Plans" means the self-funded medical, vision and dental plans to be established by CESI pursuant to Section 2.2 and Article V.

CESI means Catalytica Energy Systems, Inc., a Delaware ---- corporation. In all such instances in which CESI is referred to in this Agreement, it shall also be deemed to include a reference to each member of the CESI Group, unless it specifically provides otherwise; CESI shall be solely responsible to Catalytica for ensuring that each member of the CESI Group complies with the applicable terms of this Agreement.
