The Sub-Servicer shall provide all reasonable cooperation and assistance (with respect to information regarding the Sub-Servicer or the Mortgage Loans) to enable the Servicer to comply with its obligations under Article XI of the Pooling and Servicing Agreement, including, without limitation, providing to the Servicer in a timely manner, Additional Form 10-K Disclosure with respect to itself under Item 1117 of Regulation AB and with respect to affiliations with the Trustee or Special Servicer under Item 1119(a) of Regulation AB, and any Reportable Event with respect to Item 6.02 of Form 8-K as to the Sub-Servicer. The Sub-Servicer shall indemnify and hold harmless each Certification Party (and any comparable party in an Other Securitization) and the Servicer from and against any losses, damages, penalties, fines, forfeitures, legal fees and expenses and related costs, judgments and other costs and expenses incurred by such Certification Party (and any comparable party in an Other Securitization) or the Servicer arising out of (i) a breach of its obligations to provide any of the annual compliance statements or annual assessment of servicing criteria or attestation reports pursuant to this Agreement or (ii) negligence, bad faith or willful misconduct on its part in the performance of such obligations hereunder.
