Certifying Employee definition

Certifying Employee means an employee of the corporation requested, as part of the corporation’s disclosure controls and procedures and in connection with the performance of the employee’s responsibilities in service to the corporation, to provide to the corporation a certification or certifications to be used by the corporation in connection with the preparation of its periodic reports under the Exchange Act;
Certifying Employee includes all Maxim officers, presidents, vice presidents, national and regional directors (other than board directors), and national and regional accounts managers.
Certifying Employee means employees designated in the Corporate Integrity Agreement Between The Office of Inspector General of The Department of Health and Human Services and Ventura County dated August 11, 2022 (CIA). Certifying Employees include the following: HCA Director, VCMC Chief Executive Officer, VCMC Chief Financial Officer, and VCMC Chief Operating Officer, Compliance Officer, and Ventura County’s Chief Executive Officer.
