CertainTeed Debt means the Indebtedness owed to CertainTeed Corporation under that certain Subordinated Promissory Note dated May 1, 2003, in the original principal amount of $40,000,000, with a current principal balance of $25,919,785.83.

Notwithstanding anything contained in this Section to the contrary, contemporaneously with the making of the Term Loan, the Borrowers shall be permitted to repay or pay, as applicable, and shall repay or pay, as applicable, the Prudential Debt, the Prudential Make-Whole Amounts and the CertainTeed Debt.
