Certain Indebtedness and "Description of Capital Stock," insofar as they purport to constitute summaries of certain terms of documents referred to therein, constitute accurate summaries of the terms of such documents in all material respects.
Certain Indebtedness means all Indebtedness and any other obligations of any Credit Party in connection with the existing mortgage on the Duncanville, Texas property to be repaid pursuant to Section 5.21(a) as set forth on Schedule 5.21(a).

  • Balloon Indebtedness means Long-Term Indebtedness, 25% or more of the original principal amount of which becomes due (either by maturity or mandatory redemption) during any consecutive twelve-month period, if such principal amount becoming due is not required to be amortized below such percentage by mandatory redemption or prepayment prior to such twelve-month period.
