Certain capitalized terms used herein are defined in Section 9 and in the remaining portions of this Agreement. This Agreement contemplates a transaction in which the Target shall become a wholly-owned Subsidiary of the Buyer through a merger of the Transitory Subsidiary with and into the Target. Stockholders of the Target will receive capital stock of the Buyer, cash and contingent rights to additional capital stock of the Buyer in exchange for their capital stock in the Target.
