Certain Assets definition

Certain Assets means: (a) The assets, properties and business of the Company, wherever located, that are reflected on Exhibit 1.2 attached hereto and made a part hereof. (b) All documents, books and records of the Company (including the corporate minute book and stock transfer books), and all customer lists.
Certain Assets means those assets which provide a continuing income identified and designated by the Borrower in accordance with its discretion. The Borrower shall decide which assets will be assigned based on its assessment of the best interests of the parties involved and the financial viability of the assets. The Borrower shall make appropriate disclosures to investors regarding any assets being assigned, including the nature and value of such assets, the reasons for their assignment, and the potential impact on the investment.
