Effective as of the date hereof, (I) the names of the Cerberus Managers are ▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇ ▇▇▇▇ and ▇▇▇▇▇ ▇▇▇▇▇▇, (II) the name of the CEO Manager is ▇▇▇▇▇ ▇▇▇▇▇▇▇, (III) the name of the ▇▇▇▇▇ Manager is ▇▇▇▇▇ ▇▇▇▇▇ and (IV) the name of the Trican Manager is ▇▇▇▇ ▇▇▇▇▇▇▇▇▇▇, in each case, until the earlier of their resignation or removal or until their respective successors are duly elected and qualified, as the case may be, in accordance with this Agreement.
If at any time the CEO Manager dies, becomes disabled, resigns or is otherwise removed from the office of Chief Executive Officer of the Company, such CEO Manager shall be concurrently removed as a Manager and the next duly appointed or elected Chief Executive Officer of the Company shall be designated the CEO Manager.
Notwithstanding the foregoing, in the case of the CEO Manager, such position will remain vacant until a new Chief Executive Officer is appointed.
In the event that, for any reason or for no reason, the individual that is the CEO Manager is no longer the Chief Executive Officer of ▇▇▇▇▇ Group, such individual shall be deemed to have automatically resigned as the CEO Manager from the Management Board, and the resulting vacancy on the Management Board shall be filled by the individual that is thereafter appointed to the positon of Chief Executive Officer of ▇▇▇▇▇ Group.
The CEO Manager shall serve for a term consistent with his or her term as CEO, unless he or she resigns, dies or is removed from his or her position as a Manager by the Cleco Power Board, acting by Board Supermajority Consent, before his or her term expires.
All decisions or actions to be made or taken by the Board of Managers shall require the affirmative vote or written consent of more than fifty percent (50%) of the Managers; provided, however, that in the event of a dead-lock vote or consent, the CEO Manager will cast the deciding vote on such matters (the “Consent of the Board of Managers”).
