Centre IP definition

Centre IP means the Centre IP arising from the Project.

  • Each Project Participant will do all things reasonably necessary, including the signing of documentation, to vest the Centre IP in the Company.

  • Each Party must procure that Centre IP created by any of its Specified Personnel will be owned and dealt with according to the provisions of this agreement.

  • If the Company receives any Commercialisation Income from the Commercialisation of Non- Project Centre IP it may retain it for its own purposes.

  • To the extent that any of the Event Centre IP or City Proprietary Materials are trade secrets or Confidential Information, the Manager shall keep such trade secrets and Confidential Information confidential and shall safeguard the same at least as carefully as the Manager safeguards its own trade secrets and Confidential Information.

  • A Participant wishing to use Non-Project Centre IP for any purpose, whether for research or otherwise must obtain a licence from the Company covering such use.

  • At least 30 days prior to any submission for publication, a Participant wishing to publish information or material arising from the Activities (Requesting Party) must forward a request in writing to the Company, seeking permission to publish the information or material, and specifying in the request any Centre IP or Centre Confidential Information contained or referred to in the proposed publication.

  • The Manager shall, at the sole cost of The City, execute, acknowledge and deliver all documents that may be reasonably necessary or desirable to enable The City and/or its Affiliates to protect and register the Event Centre IP or any City Proprietary Materials.

  • Nothing in this agreement will prevent a Party from conducting research or other activities independently of the Centre, provided that it obtains any necessary consent to use Background IP (other than its own), Centre IP or Confidential Information (other than its own) from the relevant entity or entities which owns or controls the relevant material, as part of that research or other activities.
