CEEE, Atlantic and the Stockholders desire to amend Schedule I to the Stock Exchange Agreement to create a uniform share exchange ratio with respect to the allocation of an aggregate of 18,183,759 shares to be issued to the Stockholders following an amendment to CEEE's Certificate of Incorporation to, among other things, increase the number of authorized shares.
