This Contract constitutes the entire understanding between Table Sponsor and CEDIA related to the Display Space for the Event and supersedes all negotiations, agreements and communications, whether oral or written, with respect to the subject matter hereof.
CEDIA will make best efforts to provide notice of 45 days or more before the planned event date if an event is to be cancelled.
The Table Sponsor is responsible for payment of fees, royalties, or fines for use of work that is protected by copyright, patent, trade secret, or trademark, and Table Sponsor agrees to defend, indemnify, and hold CEDIA and Display Facility harmless from all suits or claims for infringement of copyright, patent, trade secret, or trademark rights.
It is further agreed that the Table Sponsor shall not assign, share or sublet in whole or in part any of the Display Space without the express written consent of CEDIA.
