CE Technology definition

CE Technology means the technology owned by CE or licensed to CE by a third party (including reports, software tools, algorithms, software (in source and object forms), user interface designs, architecture, toolkits, plug-ins, objects and Documentation, network designs, processes, know-how, methodologies, trade secrets and any related Intellectual Property Rights throughout the world) and feedback made to CE that is incorporated into any of the foregoing (which are hereby irrevocably assigned to CE), as well as any of the modifications, or extensions of the above, whenever or wherever developed.

CE Technology means all trade secrets, patents, copyrights, trademarks, service marks and other proprietary rights owned by CE or which CE has the right to license or sublicense, relating to the System, and all related documentation. This Agreement conveys no ownership rights to Client of the CE Technology and CE is and will remain the owner of the System excluding the Client Content. CE hereby grants Client a nonexclusive, non-transferable license during the term of this Agreement to use the CE Technology in conjunction with Client’s use of the System.

Examples of CE Technology in a sentence

  • You own (or, where applicable, must ensure that you have a valid license to) the URL/domain name associated with the Site (as applicable) and your Client Data (including, without limitation, your Client Content), subject to our underlying Intellectual Property Rights in the CE Technology and the End User’s rights to his/her own End User Data.

  • These licensed rights do not constitute a sale and do not convey to you or any third party any right of ownership in or to the Site (as applicable), Services, CE Technology, or any of the Intellectual Property Rights therein.

  • Subject to the terms and conditions of the Agreement (including your payment of Fees), we grant you, during the Term, a limited term, non-exclusive, non-transferrable license to: (a) permit your Authorized Users and End Users to access the Site (as applicable) and use the Services through our approved interfaces and proprietary CE Technology; and (b) access the Site (as applicable) and use Services in the lawful operation of your business at the approved location.

  • We may, from time to time, update CE Technology, Systems or Services to include enhancements, add new features or functionalities, or upgrade the Site (as applicable) or Systems (collectively, “Enhancements”).

  • CE represents and warrants that it will perform services in a competent and workmanlike manner and that it owns or has appropriate rights to license and/or sublicense any content, software, and technology CE provides to Client including, without limitation, the CE Technology.

  • CE does not warrant that its services, the CE Technology, the System or other deliverables provided hereunder will be entirely free from error or defect.

Related to CE Technology

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Joint Technology means the Joint Know-How and the Joint Patent Rights.
