CDG Host definition

CDG Host means Delaware River Solar, LLC and its successors, assigns, designees, and agents;
CDG Host has the meaning set forth in the Utility’s Value Stack Tariff. Buyer is the CDG Host under this Agreement.
CDG Host means project sponsor and its successors, assigns, designees, and agents; “CDG Host Anniversary” means each twelve (12) month period after COD;

  • Subject to the terms hereof, Seller shall at its sole cost and expense undertake commercially reasonable efforts to obtain required permits and financing for, and to construct the System in a manner such that the System qualifies as a CDG Host Facility in accordance with the Utility’s CDG Procedural Requirements for Value Stack Customers, the Utility’s CDG Net Crediting Manual, and the Utility’s Value Stack Tariff and arrange for interconnection of the System to the Utility’s electrical grid.

  • Subscriber expressly consents to receiving calls and messages, including auto- dialed and pre-recorded message calls, SMS messages (including text messages), and electronic mail, from CDG Host or CDG Project Manager at any of the telephone numbers or email addresses that Subscriber has provided to CDG Host or CDG Project Manager (including any cellular telephone numbers).

  • Subscriber has the right to cancel or rescind this Agreement without charge or penalty of any kind within three (3) business days of the Effective Date by submitting to CDG Host the Notice of Cancellation Forms attached as Exhibits D (“Rescission”).

  • Beginning with the second Contract Year, Contractor shall submit invoices to NYSERDA annually at such time that Contractor can demonstrate to NYSERDA through submittal of the utility CDG Host Summary and Satellite Allocation Breakdown, or equivalent utility documentation, the Actual Annual Production and the Annual CDG Credit allocation to Subscribers for the preceding Contract Year.

  • NYSERDA will require the Contractor to provide the utility CDG Host Summary and Satellite Allocation Breakdown, or equivalent utility documentation, on a monthly basis.

  • The amount of the Initial Payment shall be (to be determined; based on proposal, as Projected Annual Production multiplied by the Quantity Percentage multiplied by the Bid Price), and shall become payable after the Contractor demonstrates through submittal the utility CDG Host Summary and Satellite Allocation Breakdown, or equivalent utility documentation, that the CDG Credits associated with the Quantity Percentage have been applied to Participating Subscriber’s utility bills.

  • Seller shall be responsible for, in accordance with the terms of this Agreement, carrying out its duties under and pursuant to the Utility’s CDG Procedural Requirements for Value Stack Customers, the Utility’s CDG Net Crediting Manual, and the Utility’s Value Stack Tariff including Buyer’s CDG Host duties, including all arrangements with the Utility for the interconnection agreement and qualification of the System under the CDG Program.


More Definitions of CDG Host

CDG Host means a non-residential customer of the Electric Utility that owns or operates the Project NMGF. The CDG Host is a signatory to a Community Distributed Generation Operating Agreement with the Electric Utility to permit CDG Host to participate in the CDG Program in the Electric Utility’s service territory;
CDG Host means the entity that owns or operates the Project;

  • Service Management System (SMS) means an off-line system used to access, create, modify, or update information in a Database.

  • Database Management System (DBMS) A system of manual procedures and computer programs used to create, store and update the data required to provide Selective Routing and/or Automatic Location Identification for 911 systems. Day: A calendar day unless otherwise specified. Dedicated Transport: UNE transmission path between one of CenturyLink’s Wire Centers or switches and another of CenturyLink’s Wire Centers or switches within the same LATA and State that are dedicated to a particular customer or carrier. Default: A Party’s violation of any material term or condition of the Agreement, or refusal or failure in any material respect to properly perform its obligations under this Agreement, including the failure to make any undisputed payment when due. A Party shall also be deemed in Default upon such Party’s insolvency or the initiation of bankruptcy or receivership proceedings by or against the Party or the failure to obtain or maintain any certification(s) or authorization(s) from the Commission which are necessary or appropriate for a Party to exchange traffic or order any service, facility or arrangement under this Agreement, or notice from the Party that it has ceased doing business in this State or receipt of publicly available information that signifies the Party is no longer doing business in this State.
