Escrow Holder shall deliver to CDC the original CDC Note, and the original recorded Memorandum of AHPDA, CDC Deed of Trust, Option Agreement, and Affordable Housing Regulatory Agreement.

As a condition to CDC’s conveyance of the Site to Developer, Developer shall execute the CDC Note in the amount of the Purchase Price and the CDC Deed of Trust, which shall secure repayment of the CDC Note and shall secure Developer’s obligations to develop the Project on the Site in accordance with this Agreement.
The CDC Financial Assistance shall be provided to Developer in the form of a “credit,” and by the acceptance of the CDC Note, at the Close of Escrow, rather than through an actual disbursement of funds.
