The Company agrees that it shall provide reasonable cooperation to Spinco in connection with the CCD Lawsuit, including, but not limited to, reasonable access to such books, records and employees of the Company as may be reasonably necessary in order for Spinco to prosecute or defend the CCD Lawsuit or any other Action related thereto.
Nothing in this Section 6.9 shall be construed in any manner to vitiate any of the collective rights of the Company, the Retained Subsidiaries and Spinco under the CCD Lawsuit and the rights being asserted thereunder in relation to any third party, and the parties hereto shall take all reasonable actions necessary to ensure the foregoing.
