C&C Financial Statements definition

C&C Financial Statements means: (i) the unaudited balance sheet of C&C at December 31, 2009 and 2010 and the related unaudited statement of income and retained earnings, shareholders’ equity, and cash flow for the fiscal years then ended; and (ii) the Interim Financial Statements of C&C (as defined below).

  • The allowance for doubtful accounts reflected in the C&C Financial Statements or, with respect to C&C Accounts Receivable arising after the date of the C&C Interim Financial Statements on the accounting Books and Records of C&C, have been determined in accordance with GAAP.

  • The CC Financial Statements provided in connection with transactions contemplated in this Agreement are true, correct and accurate in all respects.

  • Additionally, ALL staff and visitors will be required to have an HPS Identification visible at all times.

  • The most recent C&C Financial Statements reflect an adequate reserve for all Taxes payable by C&C and its subsidiaries for all taxable periods and portions thereof through the date of such financial statements.

  • Interim Financial Statements has the meaning set forth in Section 3.06.

  • Audited Financial Statements means the audited consolidated balance sheet of the Borrower and its Subsidiaries for the fiscal year ended December 31, 2011, and the related consolidated statements of income or operations, shareholders’ equity and cash flows for such fiscal year of the Borrower and its Subsidiaries, including the notes thereto.

  • Unaudited Financial Statements has the meaning set forth in Section 5.14.

  • Target Financial Statements has the meaning set forth in Section 3.4.

  • Initial Financial Statements means, collectively, (a) the audited annual consolidated financial statements of the Borrower dated as of December 31, 2014 and (b) the unaudited quarterly consolidated financial statements of the Borrower dated as of September 30, 2015.
