  • Each Lender and each Agent (for itself and not on behalf of any other party) hereby notifies the Borrowers and CBS Operations that, pursuant to the requirements of the USA Patriot Act, Title III of Pub.

  • CBS Operations agrees that whenever, at any time, or from time to time, it shall make any payment to the Administrative Agent or any Lender on account of its liability under this Section 8.2, it will notify the Administrative Agent and such Lender in writing that such payment is made under the guarantee contained in this Section 8.2 for such purpose.

  • Neither CBS nor any of its Material Subsidiaries nor CBS Operations is in default under or with respect to any of its material contractual obligations in any respect that would have a Material Adverse Effect.

  • None of the Agents, the Borrowers or CBS Operations shall be subject to any fiduciary or other implied duties, regardless of whether a Default or an Event of Default has occurred and is continuing, and no provision in the Loan Documents and no course of dealing between the parties hereto shall be deemed to create any fiduciary duty owing to any Agent, any Lender, any Borrower, CBS Operations or any other Subsidiary, or any of their respective Affiliates, by any party hereto.

  • The Administrative Agent shall have received a Closing Certificate of CBS and CBS Operations, dated the Effective Date, with appropriate insertions and attachments.

  • The Administrative Agent shall have received an opinion of the general counsel of CBS and CBS Operations, dated the Effective Date, in form and substance satisfactory to the Administrative Agent and customary for transactions of this type.

  • The Administrative Agent shall have received this Agreement, executed and delivered by (i) a duly authorized officer of CBS and CBS Operations and (ii) each Lender.

  • The Administrative Agent shall have received an opinion of the chief legal officer or deputy general counsel of CBS and CBS Operations, dated the Effective Date, in form and substance satisfactory to the Administrative Agent and customary for transactions of this type.
