That no more than ten percent (10%) of the total consideration paid by F&M in this transaction, determined in accordance with the accounting rules applicable to the pooling of interests accounting treatment, shall be paid in cash, including amounts paid for fractional shares and amounts paid to CBE Shareholders who exercise their dissenters rights under Wis.
Delivery of certificates representing shares of F&M Common or cash payment to former CBE Shareholders who have tendered their certificates for their shares of CBE Common at or before the Effective Time shall be made as soon as reasonably possible after the Effective Time.

F&M covenants and agrees that in the event this transaction is closed after January 31, 1999, through no fault of CBE or BANK, CBE may pay to its shareholders a dividend equal to the dividend which would have been payable to the CBE Shareholders, if the merger had been completed on or before January 31, 1999.
