  • That no more than ten percent (10%) of the total consideration paid by F&M in this transaction, determined in accordance with the accounting rules applicable to the pooling of interests accounting treatment, shall be paid in cash, including amounts paid for fractional shares and amounts paid to CBE Shareholders who exercise their dissenters rights under Wis.
