The forecast information in relation to the Coors Business contained in the profit and loss statement for the period ending March 31, 2008 set out in Schedule 4.01(i) has been: (a) with respect to the period up to September 30, 2007, properly extracted from the underlying financial accounting records of the CBC Group; and (b) with respect to the period from October 1, 2007 to March 31, 2008, prepared with due care based on reasonable assumptions.
No written claim has been made by any Governmental Authority in a jurisdiction in which any CBC Group Company and, to CBC’s knowledge, any Coors Joint Venture does not file a Tax Return that any CBC Group Company or, to CBC’s knowledge, any Coors Joint Venture is or may be subject to taxation by such jurisdiction with respect to the Coors Business.
Those organisations who may wish to access this Framework Agreement will be members, and associates of the CBC Group, local government authorities, the police service, the fire service, the NHS and NHS trusts, housing associations, third sector organisations, academic centres (including Academies), free schools, publicly funded organisations and publicly owned private companies, operating within the geographic boundaries of the United Kingdom, Channel Islands, Northern Ireland and Isle of Man.
Except as disclosed on such Schedule, each CBC Group Company or other Person will be classified for U.S. federal income tax purposes according to its default classification.
No CBC Group Company is a party to or bound by any tax allocation or sharing agreement.
All such Tax Returns shall be filed in a manner consistent with Tax Returns filed by M▇▇▇▇▇ Group Companies and CBC Group Companies with respect to the M▇▇▇▇▇ Business or the Coors Business (as the case may be) for the Pre-Closing Tax Period, unless taking an inconsistent position is required under Applicable Law.
KRES, CBC Group, KVK and KMSI are collectively herein referred to as the "Subsidiary Pledgors", and the CBC Group Pledge Agreement, the KMSI Pledge Agreement, the KRES Pledge Agreement, the WREAP Pledge Agreement and the KVK Pledge Agreement are herein collectively referred to as the "Subsidiary Pledge Agreements".
