Borrower shall be required to maintain (i) Liquidity of at least $5,000,000, (ii) Gross Availability of at least $1,000,000, and (iii) Cash Plus Availability of at least $1,000,000, in each case, at all times during the period commencing on August 1, 2013, through and including the date upon which Borrower has maintained a Fixed Charge Coverage Ratio of not less than 1.0:1.0 for two consecutive calendar months.
To be tested as of the last day of each month with respect to which both (a) there were Advances outstanding as of the last day of such calendar month and (b) Borrower’s Cash Plus Availability is less than Twenty Million Dollars ($20,000,000.00) at any time during such month, EBITDA loss for the three (3) month period ending as of the last day of such month of no more than Five Million Dollars ($5,000,000.00).
