Cash Payment Cap definition

Cash Payment Cap means, with respect to any Person, an amount equal to the product of (i) the aggregate maximum permitted amount of cash payments by the Company under the Transaction Documents, as set forth in Section 3(c) of the Subordination Agreement, multiplied by (ii) the quotient of (x) the initial principal amount of the Debentures then held by such Person divided by (y) the aggregate initial principal amount of all Debentures issued pursuant to this Agreement. In the event that such Person is not the initial holder of any Debentures then held by such Person, the amount of the Cash Payment Cap with respect to such Person shall be reduced by the amount of any cash payment of any kind made by the Company to any prior holder of such Debentures under any of the Transaction Documents.
