Cash Extraction definition

Cash Extraction means the distribution of Cash by the Acquired Companies or Subsidiaries to Seller 1 by declaring, setting aside, making or paying any dividend or other distribution in respect of the capital stock of, or other ownership interests in, the Acquired Companies or Subsidiaries, by reducing the share capital, repurchasing, redeeming or otherwise acquiring any outstanding shares of the capital stock or other securities of, or other ownership interests in, the Acquired Companies or Subsidiaries, by effecting any recapitalization, capital reduction, reclassification, or like change in the capitalization of the Acquired Companies or Subsidiaries, or otherwise solely on the Closing Date.
Cash Extraction means the extraction of cash from each of the Group Companies achieved between the date of this Agreement and the Closing Date by means of dividends, distributions, capital-reductions, share buybacks or other similar actions in accordance with the Pre-Closing Reorganisation Plan;

Examples of Cash Extraction in a sentence

  • The Cash Extraction Plan may be amended by Seller from time to time with the consent of Purchaser (such consent not to be unreasonably withheld, delayed or conditioned), in order to effectuate the principles and anticipated steps described in Schedule 7.15.

  • The Cash Extraction Plan shall have been undertaken in compliance with applicable law and in a manner that is not adverse to any of the Purchased Subsidiaries and that does not create any obligations on the part of any of the Purchased Subsidiaries.
