The Cash Extraction Plan may be amended by Seller from time to time with the consent of Purchaser (such consent not to be unreasonably withheld, delayed or conditioned), in order to effectuate the principles and anticipated steps described in Schedule 7.15.
The Cash Extraction Plan shall have been undertaken in compliance with applicable law and in a manner that is not adverse to any of the Purchased Subsidiaries and that does not create any obligations on the part of any of the Purchased Subsidiaries.
Prior to Closing, Seller shall, or shall cause its Affiliates to, remove the cash from the Purchased Subsidiaries permitted or required to be removed therefrom by this Agreement pursuant to the principles and anticipated steps planned as of February 28, 2002 as described in Schedule 7.15 (the "Cash Extraction Plan").
