Cash Delta definition

Cash Delta means, in respect of any Replaced Reference Entity or Replacement Reference Entity, an amount determined by the Credit Default Swap Counterparty in its discretion as the aggregate notional amount of the hedging arrangements which it has or, as applicable, would put in place in respect of such Reference Entity.
Cash Delta means (a) the amount of cash received by Seller in respect of the Businesses from and after January 1, 2005 through the Closing Date less (b) the amount of cash expended by Seller in respect of the Businesses from and after the Effective Date through the Closing Date. Notwithstanding the foregoing, the Cash Delta shall not be decreased by any amounts paid during the period between the Effective Date and the Closing Date with respect to obligations in respect of those Employees listed on Schedule 1.1 hereto.

  • If the Estimated Cash Delta is a negative number, then, at the Closing, Buyer shall pay to Seller in an amount equal to the Estimated Cash Delta.

  • If the parties are unable to agree on the Cash Delta within 10 days following the Closing, any disputed matter relating thereto shall be submitted to the Independent Accounting Firm for resolution in the same manner as is provided for with respect to a dispute concerning the Adjustment Amount.

  • The parties shall cooperate with one another to determine the Cash Delta as soon as practicable after the Closing.
