Case Sales definition

Case Sales means, for the year ended December 31, 2013, the Company’s aggregate case sales as determined on a basis consistent with case sales as reported in the Company’s Annual Report on Form 10-K for the year ended December 31, 2013.

  • Upon the reasonable request of Parent, NewCo shall provide to Parent an updated copy of the Transition Progress Report and any supporting or related documents reasonably requested by Parent (including copies of any correspondence with third parties in respect of Third Party Agreements and supporting data for Case Sales amounts, including by month and SKU), and NewCo shall make members of NewCo management reasonably available to respond to questions in respect of the Transition Progress Report.

  • In the event that Undisputed Case Sales are less than 900,000, Purchaser may elect to terminate this Agreement by notice to Seller.

  • To the knowledge of Seller, the Case Sales Analyses fairly and accurately reflect the sales of the Business for the periods then ended consistent with past practices.

  • In 2014, Distributor’s shares shall be awarded pro rata based on the percentage of the 2014 Case Sales Milestone it achieves in calendar 2014, but not to exceed ­­­­­1,000,000 shares.

  • Distributor shall earn and be issued "restricted" common shares in Supplier each calendar year over the term of this Agreement, if Distributor successfully meets Product sales goals for such calendar year as set forth in the "Case Sales Milestones" Schedule attached as Exhibit B.

  • Any dispute which is not resolved shall be entered in the Disputed Case Sales Statement and shall be dealt with as set forth in the Escrow Agreement.
